Business Plan for the Establishment of Fitness&Wellness Center

This bachelor thesis deals with composition of business plan, leading to establishment of new company oriented to sports and relaxation activities, specifically fitness and wellness programs. During composition of this plan there was market analysis performed, followed by SWOT and SLEPT analysis for identification of potencial risks. The last part of this thesis considers feasibility of this project.

This bachelor thesis is describing business plan process to develop a company that concerns whole sale and retail sale of footwear. This work focuses on a particular goal of the project which is a change to a different type of leading a business (such as law rules, tax evidence, accounting and taxation), in this particular case from a sole trader, who is producing tax evidence, to a law body trader - public limited company, which is producing main accounting. The first part of the project brings us into the theoretical introduction of the issue. The second part explains the business plan, analyzes the present situation of the company and indicates the difference in books. The implementation of the business plan is described in the third part and it also propose a way of leading the business.

Employee representation in the elected bodies of a public limited company - a comparative perspective

This thesis analyses the legal regulation of employee representation in elected bodies of public limited companies in the Germany and in the Czech Republic and then compares them. The first part of this thesis briefly describes the historical development of the legal regulation of codetermination in the Czech Republic and then analyses to which companies the regulation of codetermination applies, how many members of the elected bodies of the company are elected by employees, how the election process of members of the elected bodies of the company elected by employees is regulated, how it is possible to deviate from the provisions that regulate codetermination and what special rights the members elected by employees have in the elected bodies of the company. In the second part of this thesis, the historical development of the legal regulation of codetermination in Germany is briefly described and then it is analysed how the described issue is regulated in German law. Protection of minority shareholders after recodification of Czech private law

Protection of minority shareholders after recodification of Czech private law The purpose of this thesis is to concentrate upon chosen areas of protection of minority shareholders, analyse them and review the advantages and disadvantages of the recodification of Czech private law in these areas. Simultaneously the thesis evaluates the usability of the existing judicial decisions and outlines possible development of the legislation. In the parts of the thesis where the author believes it is useful, the thesis compares these areas with foreign legislation and doctrine. The thesis is systematically composed of 4 chapters. The introductory part of the thesis consists of two separate chapters that describe the notions of minority and qualified shareholder and explain the reasons of their protection. After the definition of areas of protection of minority shareholders, chapter three concentrates on the areas of the protection that the author considers significant in terms of position of the minority shareholder in the company after the recodification. At first the thesis focuses on the participation of the shareholders in the corporate governance, specifically on the rights of qualified shareholders. 1 Abstract Decision making outside the general meeting of limited companies (per rollam) The aim of the thesis is particularly using the descriptive and the analytical method and the legal argumentation to analyse the legal regulation of the decision making outside the general meeting of limited companies (per rollam) contained in Civil Code and especially in Business Corporations Act, to focus of its specifics and possible interpretational problems of selected topics, to assess the impact of the per rollam decision making on rights of members of limited companies and last but not least to suggest framework possibilities for the further development of the legal regulation de lege ferenda. Alternatively, the comparative method with the British and Slovak legal regulation is used. The thesis is divided into four chapters; each of them is further divided into subchapters and closed with a partial summary. After the initial definition of the limited company and outlining its characteristics in the first chapter, the second chapter is devoted to the general analysis of the general meeting with an emphasis on possible alternative ways of decision making on and outside the meeting and to the question of the nature of the general meeting's resolution.
